Mr. Alexander Lebedinski concentrates his practice in the areas of corporate and international law, business transactions, healthcare and immigration law.

Mr. Lebedinski is fluent in Russian and Ukrainian languages.

International Law and Business Transactions:

  • Assist foreign entities with U.S. investment and establishing operations in the U.S.
  • Prepare, review and negotiate contracts for international supply, joint venture, agency and distributor relationships
  • Prepare, review and negotiate terms and conditions for purchase and sale of goods, capital equipment purchase agreements, service agreements, joint development agreements and technology license agreements in the automotive and other industries
  • Handle sales and acquisitions of businesses, including asset and stock transactions, prepare letters of intent and private placement memorandums
  • Represented clients from Russia, Japan, Germany, Great Britain, India, Brazil, Canada and Ukraine

Healthcare Law:

  • Compliance with State and Federal healthcare laws and regulations, including HIPAA, HITECH Act, Stark Act prohibitions on self-referral and the Anti-kickback Statute
  • Prepare and assist with implementation of HIPAA and HITECH Act compliance programs for HIPAA Covered Entities and Business Associates
  • Conduct HIPAA training for workforce members
  • Prepare, review and negotiate Business Associate Agreements on behalf of HIPAA Covered Entities and Business Associates
  • Perform HIPAA incident risk assessment to determine a reportable “Breach” under HIPAA Breach Notification Rule and HITECH Act
  • Analysis and submission under the ACA’s voluntary Self-Referral Disclosure Protocol (SRDP)
  • Prepare, review and negotiate employment, confidentiality, non-competition and professional service agreements
  • Assist in obtaining Certificate of Need for diagnostic centers and surgery centers

Corporate Law:

  • Form legal entities, including non-profit and for-profit corporations, limited liability companies and professional business entities
  • Develop successful business planning strategies, prepare bylaws, operating agreements, buy-sell agreements and other corporate documents

Immigration Law:

  • Assist international and U.S. employers, both established and start-ups, with selecting and obtaining employment-based visas, visa extensions, and permanent residence (Green Card) for business executives, investors, professionals and their families
  • Advise corporate and individual clients on various U.S. visa and other immigration matters
  • Assist employers with Form I-9 employment eligibility verification compliance matters
